08/12/2017 ECJ Coty ruling: Suppliers of luxury goods may prohibit authorized distributors from selling on third-party internet platforms
In the ECJ´s ruling of 6 December 2017, the Court has ruled that selective distribution systems that aim to preserve the luxury image of products do not violate European competition law by restricting third-party online platform sales, and confirmed that platform bans are not hardcore restrictions of competition. The Court ruled that online platform bans can be appropriate in the context of a selective distribution system provided such bans do not go beyond what is necessary to preserve the luxury image of products. In contrast, the ECJ also reiterated that an absolute online sales ban imposed on retailers is not legal unless objectively justified. The Coty judgment ends a period of uncertainty over the legality of online platform bans under EU law, which has been the subject of contrasting interpretations by the national competition authorities and courts, and undoubtedly provides more clarity to luxury brand owners on the legality of their distribution practices.

The Decree of the President of the Republic of Belarus No. 7 of 23 November 2017 On Entrepreneurship, the main provisions of which will enter into force on 26 February 2018, has the aim of simplifying business activities and decreasing bureaucracy significantly.
The Decree provides a simplified framework for carrying out business in Belarus, including abolishing obligatory public procurement procedures for construction (except for construction financed from the state budget), abolishing licensing for carrying out most activities upon a simple notification of the executive authorities. All technical legislative acts shall be revised regarding their compliance with the law and will become available on public sources and legal databases. The Decree introduces many other significant changes, which are subject to implementation via legal acts to be prepared and adopted in 2018.
Generally, businesses expect many positive changes as a result of the adoption of the Decree.

04/12/2017 Belarusian tax system becomes more stable and predictable
The National Assembly of Belarus and local authorities cannot introduce new taxes (duties) or increase tax rates until 2020. This will not affect the indexation of BYN rates against inflation and the obligations of Belarus arising from international agreements.
As a general rule, unpaid taxes, duties and other obligatory payments to the budget and state non-budgetary funds cannot be claimed from a payer, if they are not claimed within five years from the payment date.
The new rules come into force on 26 February 2018.

Taras Utiralov, Leader of the Information Technologies practice at PETERKA & PARTNERS, took part in a debate about smart contracts and cryptocurrencies at the Legal TMT (Technology. Media. Telecommunications) Forum in Kyiv. The forum was hosted by the Yurydychna Praktyka publishing house on 22 November 2017, and PETERKA & PARTNERS acted as a partner of the event. Mr. Utiralov was a moderator of the debate blockchain, smart contracts and cryptocurrencies. The debate was held between two teams composed of specialists in law and IT: one team taking the role of “innovators” and the other taking a more conservative approach. In the course of the debate/discussion, the two teams came to the joint conclusions that smart contracts will not (at least, in the near future) supersede lawyers, but rather will help them to become more efficient, while cryptocurrencies might change business operations a great deal. 23/11/2017 Commission fines five car-safety equipment suppliers in cartel settlement
The European Commission has fined Tokai Rika, Takata, Autoliv, Toyoda Gosei and Marutaka a total of 34 million EUR for breaching EU antitrust rules. The companies took part in one or more of four cartels for the supply of car seatbelts, airbags and steering wheels to Japanese car manufacturers in the EEA.
All five suppliers acknowledged their involvement in the cartels and agreed to settle the case. Takata was not fined for three of the cartels, and Tokai Rika for one of the cartels, as they both revealed the existence of the cartels to the Commission.

A very successful business event was held in mid-October in the premises of the PETERKA & PARTNERS Hungarian office. The office presented new regulations in two areas considered to be hot topics this autumn in Hungary.
Ádám Kollár, Partner and Director for the Hungarian office, introduced the main features of the GDPR regulation recently adopted at the EU level. The audience also learned some practical tips on how to manage their data protection matters internally.
Judit Kresz, Tax Advisor and Leader of the Tax Desk Practice, gave an overview on tax procedural rules, after their re-regulation, and highlighted the practical aspects and most important changes that might affect daily business operations.
During the discussion with clients held after the presentation, it was discovered that they liked the idea of regular business breakfasts and were looking forward to the next one (which could take place as early as the spring of next year).

Achmea BV, Advocate General Melchior Wathelet concluded on the compliance of intra-EU BITs with EU law: “Articles 18 TFEU, 267 TFEU and 344 TFEU must be interpreted as not precluding the application of an investor/State dispute settlement mechanism established by means of a bilateral investment agreement concluded before the accession of one of the Contracting States to the European Union and providing that an investor from one Contracting State may, in the case of a dispute relating to investments in the other Contracting State, bring proceedings against the latter State before an arbitral tribunal.” Please see the link. The Ukrainian office of PETERKA & PARTNERS won a court case against an importer of counterfeit goods infringing on intellectual property rights on the trademark and industrial design of ABRO Industries, Inc. The counterfeit goods were detained by Ukrainian customs as they were being imported in Ukraine. The court banned the import and ordered the destruction of the counterfeit goods. The court decision was executed by the State Enforcement Service of Ukraine and the goods were destroyed in October 2017.

Senior Lawyer Georgi Kanev spoke at a seminar focused on copyright last week in Sofia, Bulgaria. Georgi was one of two speakers to share their thoughts on copyright-related matters. Georgi discussed the creation of copyrighted works under both Bulgarian and US copyright law (e.g., one of the ways to have in place “work made for hire” pursuant to US copyright law). PETERKA & PARTNERS successfully represented one of its clients, Atlas Copco s.r.o., part of the international Atlas Copco Group, in a dispute with a former employee regarding alleged invalidity of termination of an employment relationship. The court of first as well as second instance dismissed the claim of the other party in full and awarded our client reimbursement of the court fees.

24/10/2017 VW (Audi), BMW and Daimler inspected by EU for alleged cartel
Volkswagen AG and Daimler AG were inspected by European Union antitrust investigators as the EU stepped up a probe into allegations that the German car industry colluded on technology for decades. It is not yet clear whether the European Commission will instigate formal proceedings. Both VW and Daimler have claimed for leniency, and BMW is not particularly pleased about this development. The three carmakers worked together on a wide range of technology including discussing the size of AdBlue (a liquid that helps neutralize pollutants in diesel exhaust) tanks.

PETERKA & PARTNERS represented nkt cables, a global front-line supplier to the energy sector on the divestment of its automotive cable business and the sale of its plant in Vrchlabí to a subsidiary of the German-based Wilms Group. Following the approval of the transaction by the antimonopoly authorities, the transfer was successfully closed with effect as of 30 April 2017.

Beyond existing state subsidies for energy efficiency and renewable energy projects, tax allowances introduced in 2017 mean new types of support for energy-related investments.
The establishment of an EV (“electronic vehicle”) charging station entitles the investor to the double deduction of investment costs when calculating its corporate income tax base. The maximum of such deduction is approximately EUR 1.8 million per EV charging station created.
Another tax allowance relates to investments improving energy efficiency. Thirty per cent of the total costs of assets and IPs connected to an investment aimed at the reduction of final energy consumption may be used as a deduction from the corporate tax payable. The maximum amount of the tax allowance is EUR 15 million and shall be utilized within five years of the date when the investment is put into operation.

Dividends paid to individuals from the profit reported for the periods starting as of 1 January 2017, will be subject to a withholding tax of 7%, which can be reduced under a double tax treaty.
Payment of dividends to a legal entity established in a country having a double tax treaty with Slovakia will further remain free from withholding tax.
Dividends related to the distribution of profit of different periods may have different tax treatments as the rules have been changed several times over the past years.

The Court of Justice of the European Union issued a decision declaring Hungary's online gambling legislation incompatible with the EU's freedom to provide services. The case relates to a request for a preliminary ruling from the Administrative and Labour Court in Budapest and concerned administrative decisions made by the Hungarian authorities to block access to the operator Unibet's sites in the country, where the latter offered online games of chance without having obtained a licence in Hungary. The court stated that the local legislation licensing requirement to carry out, for a period of at least 10 years, an activity involving the organization of games of chance in Hungary, is discriminatory (ECJ Case C-49/16).

04/08/2017 Changes to rules on disclosure of information by energy undertakings in Bulgaria
After changes to the Public Offering of Securities Act (POSA) passed in June 2016, energy undertakings in Bulgaria meeting certain criteria have been obliged to report to the Financial Supervision Commission (FSC) in accordance with the general rules on disclosure of information under the POSA.
New amendments to the POSA entered into force in August 2017 which specified and relieved the reporting obligations to a certain extent.
Thus, the thresholds triggering the application of the POSA to energy undertakings are now higher, e.g., the turnover threshold of BGN 300,000 was replaced by BGN 1,000,000, the balance assets value of BGN 700,000 was replaced by BGN 2,000,000, etc.
Further, the POSA now expressly states the disclosure of information obligations applicable to energy undertakings (these are mostly obligations to submit annual and six-month financial statements to the FSC and related information), while reporting on mergers, management changes, corporate governance, etc. are no longer necessary.

Following the adoption of the new Electricity Market Law in Ukraine earlier this year, some of its provisions entered into force in June 2017. The provisions introduced new liberalizing regulations for the electricity market in the country and outlined the major principles of state policy in the sector, with the aim of aligning it with the EU’s Third Energy Package. The new Electricity Market Law further contains rules on bilateral contracts, a balancing market, a day-ahead market, an intraday market and a market of auxiliary services. However, these provisions will become effective only on 1 July 2019, as the law prescribes a two-year transition period before the effective implementation of all changes.

The PETERKA & PARTNERS Czech office successfully represented Skanska Reality, a member of the international corporate group Skanska, which mainly focuses on residential development, in several administrative procedures initiated by the Czech Environmental Inspectorate, and in court proceedings initiated by the Hezké Jižní Město Civil Association in connection with adherence to the Act on Nature and Landscape Protection during the construction of the Milíčovský háj residential project, located close to the Milíčovský les a rybníky Natural Monument. The last phase of this residential project (approximately USD 120 million) passed its final inspection in 2016, and all 750 residential units were sold to final customers. Luděk Trykar and Ondřej Dušek from the Prague office of PETERKA & PARTNERS provided legal advice on this transaction.

In the past years, the EU competition law enforcement has been subject to major reforms in order to increase the deterrent effect of EU competition rules. These reforms reinforced the participation of private actors in the enforcement of EU competition law, by way of strengthening private enforcement and introducing leniency programmes on the national level. The Court of Justice of the European Union has established that any citizen or business has a right to full compensation for the harm caused to them by an infringement of the EU competition rules. The right to compensation is an EU right, but its exercise is governed by national rules. These often make it costly and difficult to bring antitrust damages actions. That is why in 2013 the European Commission proposed a Directive 2014/104/EU on Antitrust Damages Actions to remove the main obstacles to effective compensation, and to guarantee minimum protection for citizens and businesses, everywhere in the EU. Member States needed to implement it in their legal systems by 27 December 2016. To date, most of the CEE countries, including the Czech Republic, Hungary, Poland, Romania and Slovakia have successfully implemented the Directive. PETERKA & PARTNERS actively monitors these developments in the CEE region and welcomes the opportunity to advise clients and bring competition claims before the national courts.

Dividends paid to individuals from the profit reported for the periods starting as of 1 January 2017, will be subject to a withholding tax of 7% that can be reduced under double tax treaty.
Payment of dividends to a legal entity established in a country having double tax treaty with the Slovak Republic will further remain free from withholding tax.
Dividends related to the distribution of profit of different periods may have different tax treatments as respective rules have been changed several times over the past years.
