PETERKA & PARTNERS represented the Czech subsidiary of the European leader in the commercial vehicle leasing industry. The case concerned the purchase of several trucks which were not delivered to our client. The legal part of the services consisted of deregistering our client as the owner of the non-delivered trucks from the Czech Register of Vehicles, which was successfully accomplished. After the deregistration, we applied at the relevant Tax Authority for the road tax refund paid for the vehicles in the 2015–2017 period. The road tax of several tens of thousands of EUR was credited to the client´s account, which is unique under Czech tax law. This success story demonstrates the benefits achieved by the effective collaboration between our lawyers and tax advisors.

Georgi Kanev has been practicing law for six years, and before he joined PETERKA & PARTNERS Bulgaria as a Senior Associate last year, he worked in the Wolf Theiss law firm. Svetlana Todorova has been practicing law for eight years, with five of those years in the Bulgarian office as a Senior Associate and expert on litigation law. Georgi and Svetlana will help Plamen Peev, Partner and Director for Bulgaria, with the management of the Bulgarian office.
Zoltan Andras Nemeth has been practicing law for eight years, and before joining our firm last year, he worked as a senior in-house counsel for Strabag Group. Zoltán will help Veronika Till, Partner and Director for Hungary, with the management of the Hungarian office.

PETERKA & PARTNERS represented an international humanitarian organization, operating in 70 countries, on VAT aspects of a shared services centre. The tax advisory consisted in the application of VAT exemption on cost sharing, which is unique as very little relevant EUCJ case law exists and the exemption was in practice impossible. PETERKA & PARTNERS represented the client with an analysis of the breaking EUCJ case law which is binding in the Czech Republic, preparation of appropriate requests and negotiations within the Coordination Committee, i.e., the regular meetings between the Chamber of Tax Advisors and the General Financial Directorate which is a superior body to the Czech tax authorities. We obtained a positive and clear opinion beneficial for the client in terms of claiming input VAT deduction.

Legislative changes should have a positive impact on the development of competition in the construction market in Belarus.
Resolution of the Ministry of Architecture No. 15 entered into force on 12 April 2018 and changed the qualification requirements for obtaining attestations for the construction of buildings of 1st-4th class of complexity.
The main provisions of the Resolution refer to the number of employees and to the accounting value of the fixed assets required.
From 12 April 2018, a construction company can obtain attestations for 1st-4th class of complexity for the construction of engineering or transport infrastructures with 100 employees (previously 150 employees). Moreover, the accounting value of fixed assets should be at least 50 thousand basic units (approx. EUR 500 at the rate of the National Bank of 24 April 2018) (previously 100 thousand basic units, i.e., approx. EUR 1,000 at the rate of the National Bank of 24 April 2018).
Similarly, the accounting value of fixed assets for the construction of buildings of 1st-4th class of complexity has been reduced.

On 14 February 2018, the Slovak Parliament passed an amendment to the Labour Code which will substantially increase existing wage surcharges for night work and holiday work and will also introduce new ones. Employees will be entitled to the wage surcharges for work on Saturdays and Sundays (which was not obligatory until now). The amendment also establishes the opportunity for employers to provide 13th and 14th wages, i.e., benefits for employees before the Summer Holidays and Christmas Holidays, which will be tax free, if all statutory conditions are met. The amendment will be effective as of 1 May 2018.

The European Commission has handed four car parts and car shipping cartels a total of €564 million in fines, after reaching settlements with all the companies accused of participating in the cartels. Among them, NYK, K Line, WWL EUKOR and CSAV were fined €346 million for participating in a roll-on roll-off vehicle shipping cartel. The EC also handed down €76 million in fines to Bosch and NGK for their roles in a spark plug cartel, and fined Bosch and Continental a total of €75 million for participating in hydraulic and electronic braking system cartels.

An article by Rostislav Frelich, Tax Advisor and Member of the PETERKA & PARTNERS Tax Desk will be published in the TerraLex Connections January/February 2018 General Topic Edition. In the article Mr. Frelich describes how and when double tax treaties will be modified by the Multilateral Instrument (MLI) which was signed by 70 jurisdictions. Over 1,100 bilateral tax treaties worldwide will be modified in a synchronized and efficient manner without standard negotiations and long-term approval procedures. This makes the MLI a unique and unprecedented measure. In many countries no consolidated version of modified treaties will be available. In this context, prior to applying double tax treaties, taxpayers should pay special attention to this newly-introduced OECD measure in order to determine whether, and how, a particular tax treaty has been amended by the MLI.

An article by Jiří Černý, Partner and Leader of the Litigation and Insolvency practice has been published in the “Czech Exporter” monthly supplement to the newspaper Hospodářské noviny. In the article Mr. Černý describes certain legal risks connected with entering foreign markets. In this context, it is necessary to introduce efficient internal processes in order to prevent disputes with foreign entities, and to resolve the disputes which have arisen. Mr. Černý provides several examples to explain that it is important to be already aware at the moment when a contractual relationship is created that disputes may arise later, and to adopt efficient measures to ensure a strong position in potential litigation or arbitration. The Constitutional Court of the Slovak Republic provided a clear answer (I. ÚS 155/2017-75 of 31 August 2017) on whether when acting on behalf of an employer in labour relations it is permissible to use a PoA under the Civil Code, thus excluding the current (restrictive) interpretation of the general courts.

As usual, the new year brings with it several changes to Hungarian tax law.
New types of corporate tax incentives are available for a starting investment of more than 6 billion HUF (approximately EUR 19 million) or job-creating investments of more than HUF 3 billion (approximately EUR 9.5 million) that are aimed at diversification of products or the innovation of procedures in a company.
Investments improving energy efficiency and those made into start-up companies are also supported through tax incentives (which have already been available since 2017). Similarly, as of 2017, Hungarian resident taxpayers may enjoy the most beneficial corporate tax rate (9%) in the European Union.
As part of the government’s programme to gradually decrease the financial burden of employment, the rate of social security contributions payable by the employer will be reduced from 22% to 19.5% from 2018. The minimum wage will be increased to HUF 138 thousand (approximately EUR 440).
After abolishing the earlier 10 per cent limit from 2018, all newly acquired shareholdings may benefit from the participation exemption rules if a shareholding is sold after a one-year holding period.

In the ECJ´s ruling of 6 December 2017, the Court has ruled that selective distribution systems that aim to preserve the luxury image of products do not violate European competition law by restricting third-party online platform sales, and confirmed that platform bans are not hardcore restrictions of competition. The Court ruled that online platform bans can be appropriate in the context of a selective distribution system provided such bans do not go beyond what is necessary to preserve the luxury image of products. In contrast, the ECJ also reiterated that an absolute online sales ban imposed on retailers is not legal unless objectively justified. The Coty judgment ends a period of uncertainty over the legality of online platform bans under EU law, which has been the subject of contrasting interpretations by the national competition authorities and courts, and undoubtedly provides more clarity to luxury brand owners on the legality of their distribution practices.

The Decree of the President of the Republic of Belarus No. 7 of 23 November 2017 On Entrepreneurship, the main provisions of which will enter into force on 26 February 2018, has the aim of simplifying business activities and decreasing bureaucracy significantly.
The Decree provides a simplified framework for carrying out business in Belarus, including abolishing obligatory public procurement procedures for construction (except for construction financed from the state budget), abolishing licensing for carrying out most activities upon a simple notification of the executive authorities. All technical legislative acts shall be revised regarding their compliance with the law and will become available on public sources and legal databases. The Decree introduces many other significant changes, which are subject to implementation via legal acts to be prepared and adopted in 2018.
Generally, businesses expect many positive changes as a result of the adoption of the Decree.

The National Assembly of Belarus and local authorities cannot introduce new taxes (duties) or increase tax rates until 2020. This will not affect the indexation of BYN rates against inflation and the obligations of Belarus arising from international agreements.
As a general rule, unpaid taxes, duties and other obligatory payments to the budget and state non-budgetary funds cannot be claimed from a payer, if they are not claimed within five years from the payment date.
The new rules come into force on 26 February 2018.

Taras Utiralov, Leader of the Information Technologies practice at PETERKA & PARTNERS, took part in a debate about smart contracts and cryptocurrencies at the Legal TMT (Technology. Media. Telecommunications) Forum in Kyiv. The forum was hosted by the Yurydychna Praktyka publishing house on 22 November 2017, and PETERKA & PARTNERS acted as a partner of the event. Mr. Utiralov was a moderator of the debate blockchain, smart contracts and cryptocurrencies. The debate was held between two teams composed of specialists in law and IT: one team taking the role of “innovators” and the other taking a more conservative approach. In the course of the debate/discussion, the two teams came to the joint conclusions that smart contracts will not (at least, in the near future) supersede lawyers, but rather will help them to become more efficient, while cryptocurrencies might change business operations a great deal. 23/11/2017 Commission fines five car-safety equipment suppliers in cartel settlement
The European Commission has fined Tokai Rika, Takata, Autoliv, Toyoda Gosei and Marutaka a total of 34 million EUR for breaching EU antitrust rules. The companies took part in one or more of four cartels for the supply of car seatbelts, airbags and steering wheels to Japanese car manufacturers in the EEA.
All five suppliers acknowledged their involvement in the cartels and agreed to settle the case. Takata was not fined for three of the cartels, and Tokai Rika for one of the cartels, as they both revealed the existence of the cartels to the Commission.

The Ukrainian office of PETERKA & PARTNERS won a court case against an importer of counterfeit goods infringing on intellectual property rights on the trademark and industrial design of ABRO Industries, Inc. The counterfeit goods were detained by Ukrainian customs as they were being imported in Ukraine. The court banned the import and ordered the destruction of the counterfeit goods. The court decision was executed by the State Enforcement Service of Ukraine and the goods were destroyed in October 2017.

Volkswagen AG and Daimler AG were inspected by European Union antitrust investigators as the EU stepped up a probe into allegations that the German car industry colluded on technology for decades. It is not yet clear whether the European Commission will instigate formal proceedings. Both VW and Daimler have claimed for leniency, and BMW is not particularly pleased about this development. The three carmakers worked together on a wide range of technology including discussing the size of AdBlue (a liquid that helps neutralize pollutants in diesel exhaust) tanks.

PETERKA & PARTNERS’ regional coverage and reputation lead to clients asking us to act as coordinators of multi-jurisdictional merger proceedings. We draw on our experience and specificities of the merger control regimes across the CEE region. PETERKA & PARTNERS represented nkt cables, a global front-line supplier to the energy sector on the divestment of its automotive cable business and the sale of its plant in Vrchlabí to a subsidiary of the German-based Wilms Group. Following the approval of the transaction by the antimonopoly authorities, the transfer was successfully closed with effect as of 30 April 2017.

Beyond existing state subsidies for energy efficiency and renewable energy projects, tax allowances introduced in 2017 mean new types of support for energy-related investments.
The establishment of an EV (“electronic vehicle”) charging station entitles the investor to the double deduction of investment costs when calculating its corporate income tax base. The maximum of such deduction is approximately EUR 1.8 million per EV charging station created.
Another tax allowance relates to investments improving energy efficiency. Thirty per cent of the total costs of assets and IPs connected to an investment aimed at the reduction of final energy consumption may be used as a deduction from the corporate tax payable. The maximum amount of the tax allowance is EUR 15 million and shall be utilized within five years of the date when the investment is put into operation.

Each holder of the marketing authorization of medicines fully or partially reimbursed from Slovak public health insurance (categorized medicines) has to have established, and operate, a special electronic system for the emergency ordering of such medicines from 1 April 2017. Ordered medicines must be delivered by a holder of marketing authorization in 24 hours, and by a wholesale distributor in 48 hours.

From 1 January 2017, the following goods will be exempt from VAT collected by the customs authorities:
• Goods manufactured by FEZ residents from foreign goods under the customs procedure of a free customs zone and being placed under the customs procedure of release for domestic consumption
• Until 31 December 2019, goods previously placed under the customs procedure of a free warehouse and being placed by an owner of a free warehouse under the customs procedure of release for domestic consumption.

The minimum insurable income threshold has been increased along with the minimum monthly salary from EUR 214 to EUR 235 as of 1 January 2017. Dividends paid to individuals from the profit reported for the periods starting as of 1 January 2017, will be subject to a withholding tax of 7%, which can be reduced under a double tax treaty.
Payment of dividends to a legal entity established in a country having a double tax treaty with Slovakia will further remain free from withholding tax.
Dividends related to the distribution of profit of different periods may have different tax treatments as the rules have been changed several times over the past years.
