PETERKA & PARTNERS represented the Czech subsidiary of the European leader in the commercial vehicle leasing industry. The case concerned the purchase of several trucks which were not delivered to our client. The legal part of the services consisted of deregistering our client as the owner of the non-delivered trucks from the Czech Register of Vehicles, which was successfully accomplished. After the deregistration, we applied at the relevant Tax Authority for the road tax refund paid for the vehicles in the 2015–2017 period. The road tax of several tens of thousands of EUR was credited to the client´s account, which is unique under Czech tax law. This success story demonstrates the benefits achieved by the effective collaboration between our lawyers and tax advisors.

Georgi Kanev has been practicing law for six years, and before he joined PETERKA & PARTNERS Bulgaria as a Senior Associate last year, he worked in the Wolf Theiss law firm. Svetlana Todorova has been practicing law for eight years, with five of those years in the Bulgarian office as a Senior Associate and expert on litigation law. Georgi and Svetlana will help Plamen Peev, Partner and Director for Bulgaria, with the management of the Bulgarian office.
Zoltan Andras Nemeth has been practicing law for eight years, and before joining our firm last year, he worked as a senior in-house counsel for Strabag Group. Zoltán will help Veronika Till, Partner and Director for Hungary, with the management of the Hungarian office.
At the same time, we would like to announce that Adám Kollár, Partner and Director for Hungary, will leave in September after spending five successful years at the firm.

07/12/2018 Proposal to terminate “old” enforcement proceedings
A few weeks ago, the Ministry of Justice (Ministry) presented the eagerly-expected draft of an act that would terminate certain “old” enforcement proceedings. This proposal comes in the context of their overwhelming number (three million, involving 950 thousand people out of a country of 5.4 million) – many of them lasting for years and without any realistic chance of recovery of the creditors´ receivables.
With certain exemptions, the enforcement proceedings begun prior to 1 April 2017 are to be terminated if, within five years following the commencement of such proceedings, the judicial enforcement officer was unable to enforce the adjudicated claim fully and unless he/she was able to collect at least 15 euros within the last 18 months. A flat fee for the termination should be paid by the creditors to the judicial enforcement officers, in an amount to be stipulated by the Ministry.
The termination of the “old” enforcement proceedings does not result in the termination of the debt – the creditor is free to file a new petition to enforce its claim, and this time, under the new conditions applicable from 1 April 2017.
Only a couple of days ago, the Ministry received substantial comments to the draft, mostly from creditors with large numbers of debtors (e.g., health insurers) that object, amongst others, to their responsibility to cover the costs and even citing certain constitutional concerns. The Ministry will clearly have a difficult time ensuring that its proposal achieves its aims and remains within the limits of constitutionality.

Following the implementation of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (the “GDPR”), which came into force on 25 May 2018, the Romanian Data Protection Authority (the ”Authority”) has issued two decisions in respect to the processing of personal data, in line with the provisions of the GDPR.

On 14 November 2018, the Slovak Constitutional Court ruled that Act No. 140/2014 Coll. on Acquisition of Ownership Title to Agricultural Land is, for the most part, unconstitutional. Under the act, the owner can transfer its land only to an individual or entity that has been engaged, for at least three years, in agricultural production in the municipality in which the land is located, to a co-owner or to certain family relatives. Otherwise, a formal offer has to be made to certain qualified entities also engaged in agricultural production; then, only if those have not shown any interest, can the land be transferred to an individual or legal entity domiciled in Slovakia for at least ten years.
The explanatory report to the act cited several EU states with similar limitations on land transfer. Therefore, it remains to be seen whether the legislator will try to address the Constitutional Court’s objections and adopt similar legislation in future, this time compatible with the Constitution. It remains also to be seen whether the State will find any remedy for the decades-long situation of improper registration of ownership titles to large areas of agricultural land that, in most cases, completely prevents its acquisition by private entities.

A newly-adopted amendment to the Slovak Act on Support of Renewable Energy Sources and High Efficiency Combined Heat and Power modifies the existing system for the support of these sources. The amendment marks a transition from a system of feed-in-tariffs to a system of feed-in-premiums (príplatok) for all new RE sources with an installed capacity of over 500 kW; such new sources are to be selected in auctions. Natalia Anoshka participated in the Belarusian-Hungarian Business Forum with the presentation “Legal Aspects of Doing Business: Belarus-Hungary”. She presented specific features of doing business in Belarus to Hungarian businesses and provided examples of treaties concluded between Belarus and Hungary which simplify cooperation between the countries.
At the forum the possible directions for the development of Belarusian-Hungarian trade and economic interaction were discussed, and bilateral negotiations were held with representatives of Hungarian enterprises active in the spheres of woodworking, consulting, food production, and information technology.

In order to transpose the latest piece of EU AML legislation (Directive 2015/849), the Slovak Republic adopted a substantial amendment to its AML Act (Act No. 297/2008 Coll.) as well as several other acts, including the Act on Commercial Registry (Act No. 530/2003 Coll.). As of 1 November 2018, each newly incorporated company (with the exception of certain public law entities and publicly traded companies) has to register information on its ultimate beneficial owner; the companies must file such information by 31 December 2019. The information will be available only to state authorities and certain entities with duties, under the AML Act, to identify ultimate beneficial owners prior to rendering their services.
Interestingly, such registration does not replace the already existing duties to disclose ultimate beneficial owners under the separate Act on the Register of Partners of the Public Sector (Act No. 315/2016 Coll.; this act does not transpose any EU act) imposed on companies that wish to enter into contractual relations with the State or municipal bodies or entities under their control or that receive any subsidies from State or municipal budgets; this register continues to be public and available on the internet.

PETERKA & PARTNERS represented the Czech subsidiary of the European leader in the commercial vehicle leasing industry. The case concerned the purchase of several trucks which were not delivered to our client. The legal part of the services consisted of deregistering our client as the owner of the non-delivered trucks from the Czech Register of Vehicles, which was successfully accomplished. After the deregistration, we applied at the relevant Tax Authority for the road tax refund paid for the vehicles in the 2015–2017 period. The road tax of several tens of thousands of EUR was credited to the client´s account, which is unique under Czech tax law. This success story demonstrates the benefits achieved by the effective collaboration between our lawyers and tax advisors.

PETERKA & PARTNERS represented an international humanitarian organization, operating in 70 countries, on VAT aspects of a shared services centre. The tax advisory consisted in the application of VAT exemption on cost sharing, which is unique as very little relevant EUCJ case law exists and the exemption was in practice impossible. PETERKA & PARTNERS represented the client with an analysis of the breaking EUCJ case law which is binding in the Czech Republic, preparation of appropriate requests and negotiations within the Coordination Committee, i.e., the regular meetings between the Chamber of Tax Advisors and the General Financial Directorate which is a superior body to the Czech tax authorities. We obtained a positive and clear opinion beneficial for the client in terms of claiming input VAT deduction.

Svetlana Todorova has been practicing law for eight years, with five of those years in the Bulgarian office as a Senior Associate and expert on litigation law.
