According to the International Organization for Migration, more than 1.8 million children have gone abroad since the beginning of war in Ukraine. As you know, children are quickly assimilated - adopt the behaviour, traditions, language of the country which they live in. Language is the basis of any nation. Mentality, wisdom and knowledge are embedded in language.

We believe that in order to preserve the national code, every child should be able to continue reading in Ukrainian. Therefore, PETERKA & PARTNERS proudly supported the initiative of the Embassy of Ukraine in the Czech Republic and helped with the publication of children’s books for different age groups "Three Piglets" and "Wet Nose", with a total circulation of 6,300 copies.

Last week, the books were presented at the Ukrainian stand "United in Our Shared Values" during the 27th International Book Fair and World of Books Literary Festival in Prague. *** За даними Міжнародної організації з міграції, від початку війни в Україні за кордон виїхало понад 1,8 мільйона дітей. Ми вважаємо, що для збереження національного коду кожна дитина повинна мати можливість продовжувати читати українською. Тому PETERKA & PARTNERS радо підтримала ініціативу Посольства України в Чеській Республіці та допомогла у виданні дитячих книжок для різних вікових груп "Троє поросят" і "Мокрий ніс" загальним тиражем 6300 примірників.

11/04/2022 International Lawyers Network Spring Annual Conference in Amsterdam
Last week, we had the pleasure to participate in the International Lawyers Network Spring Annual Conference in Amsterdam which was especially important for our colleagues.
This was the very first in-person conference since the outbreak of the COVID-19 pandemic in early 2020 which Pavla Kopeckova Prikrylova attended in person as the ILN Chair of the Board of Directors.
It was also the first conference that was supposed to be attended by our Ukrainian colleagues, as our UA office joined the network last year. As they were not able to participate in person, Galyna Melnik with Taras Utiralov introduced themselves virtually to the other participants. In addition, our Romanian office was represented by Partner and Director, Cosmina Aron, who has been dedicated to ILN activities for many years.

26/08/2021 The New Building Act - What changes await investors and developers in two years?
The brand new Building Act will take full effect on July 1, 2023.*
Its main goal is to simplify and shorten currently complex and lengthy permitting procedures. It shall strengthen the rights of investors in order to speed up construction and ensure the issuance of building permits within a reasonable time.
The most fundamental changes introduced by the new Act are the following.
UNIFIED SYSTEM OF STATE BUILDING AUTHORITIES
The most fundamental change is introduction of a unified system of state building authorities, by creating completely new two-member structure headed by the Supreme Building Authority based in Ostrava and the Specialized and Appellate Building Authority based in Prague, which will also address legally reserved constructions (motorways, railways, and others). The basic stage of the building system will be the regional building authorities, which will now decide on building permits (except reserved ones) in the first instance.
SINGLE BUILDING PERMIT PROCEDURE
The introduction of a single building permit procedure can be seen as a positive solution for investors. Newly, instead of the current double zoning and construction procedure and other special procedures, a single permitting procedure will be introduced. The builder will thus need only one permit replacing zoning decision and building permit from a single building authority, which will also be possible to issue within a completely new “accelerated procedure” if specified conditions are met.
ACCELERATION
As a result of setting deadlines for issuing decisions, the permitting process will also be speeded up, where for simple constructions the building authority will have to issue a permit within 30 days from the commencement of proceedings, for other constructions within 60 days from commencement of proceedings and
within 120 days for construction environmental impact assessment (EIA). The deadline may be extended in justified cases. If the building authority does not decide in the first instance without undue delay within the statutory period, or within an extended period, the information system will automatically generate a decision on the building permit. *Certain partial changes will take effect on January 1, 2022.
APPELATE PRINCIPLE
The Board of Appeal will no longer be entitled to revoke and return the decision issued in the first instance, but will have to make a final decision on its own. This solution will eliminate the unwanted transferring of the builder's request between the authorities and will ultimately ensure a faster decision on the matter.
DIGITALIZATION
The Act also provides for digitalization of construction proceedings, when all acts between the builder and the building authority will take place electronically. Instead of a paper application with extensive attachments, the builder will submit an electronic application, which it simply uploads to the system together with the attachments via the communication means of the "building office portal".
ZONING CONTRACT
The Act regulates in detail the new "zoning contract", which allows the builder and the municipality to agree in advance on a mutual commitment to provide cooperation in the implementation of the construction plan specified in the contract and the procedure for implementing this plan.
STRICTER CONDITIONS FOR LEGALIZATION OF UNAUTHORISED CONSTRUCTIONS
The new regulation also provides for stricter conditions for an additional permit for "unauthorised constructions" (i.e., constructions without a permit or carried out in conflict with its conditions). It will only be possible to permit such constructions afterwards if the builder proves that it acted in good faith (i.e., it was not an intentional mistake). If this condition is not met, the application for an additional permit will be rejected and the building authority will order the removal of the building.
CANCELLATION OF BUILDING CLOSURES
The Act cancels building closures issued pursuant to Act No. 50/1976 Coll., i.e., those older than fifteen years, in order to prevent the possibility of making it difficult or impossible for future land use according to the prepared zoning documentation. These closures will be revoked on the day following the promulgation of the new Act in the Collection of Laws. This text provides general information on current legislation in the Czech Republic. 23/06/2020 The Czech Ministry of Industry and Commerce launched “COVID – Rent”
On June 19, 2020, the Czech Ministry of Industry and Commerce launched its long-awaited new subsidy programme “COVID – Rent”.
The programme aims to help entrepreneurs who have been prohibited by extraordinary governmental measures from the sale of goods and providing services in their establishments. It envisages the following model of participation: the landlord discounts 30% of the rent for the second quarter, the tenant pays 20% of the not-discounted rent and the state contributes 50%. If the lease agreement is with the state, it contributes 80%.
Applications can be submitted electronically from June 26, 2020 at 9 a.m. until September 30, 2020.
The whole application procedure will be completed online including all of the confirmations and forms needed, while the applicant’s identity will be verified via NIA – electronic identity.
The maximum amount to be granted to one applicant is limited to 10 MCZK.

The Czech Government has approved two ANTIVIRUS Programme measures. Employers whose business activities will be threatened because of the spread of the COVID-19 virus will be granted a contribution covering fully, or partially, the compensation of the salaries paid to employees due to obstacles on the side of the employee (mandatory quarantine) and on the side of the employer (closure of the establishment as a result of governmental measures ordering the closure of operations).

The Prague office of PETERKA & PARTNERS provided legal advice to the investment fund J&T First Venture in connection with divestment of its minority stake in DATEIO, a Czech based start-up company active in the Czech Republic, Slovakia and Romania, offering discounts linked to clients' payment cards. The legal assistance included advice on structuring the transaction and agreement among all of the current shareholders. The buyers were Erste Bank and Air Bank from the PPF group.

02/07/2019 PETERKA & PARTNERS, proud partner of Polish-Czech Literary Spring 2019
For the second year in a row, PETERKA & PARTNERS was delighted to be a partner of the event The Polish-Czech Literary Spring 2019 organized by the Czech Centre in Warsaw. The second annual Polish-Czech Literary Spring was focused on the “common memory of both countries”. This bilateral project was held from April to June with several events on Czech and Polish authors, artists, journalists and translators to Polish, in whose works you can find an emphasis on the topic of memory.
In April, we sponsored a reading of a new Polish version, translated by Leszek Engelking, of the famous Czech novel Saturnin. Another reading was devoted to Viola Fisherová, a Czech poet, who could not publish after the Warsaw Pact invasion of Czechoslovakia. The Polish translation was recited by the Polish actress Maja Komorowska.
In May, the film As If We Could Die Today (Jako bychom dnes zemřít měli) was screened, the life story of Catholic priest Josef Toufar, who was tortured to death by the communists. A discussion followed the screening – about the film and the book it was based upon. And in June, there was a reading by the Polish writer Wiesław Myśliwski, whose work has been translated into Czech.

03/04/2019 First Sanctions Under GDPR
Google has become the first worldwide technology company to be fined for breaching the EU’s General Data Protection Regulation (GDPR). The €50 million (CZK 1,280,780,000) fine was imposed by French regulator CNIL at the beginning of this year based on complaints relating to how Google processed the personal data of data subjects. The common opinion is that this case is only the tip of the iceberg and it is considered as the first warning to large administrators and processors of data in the world since the financial consequences of breaching GDPR rules may be serious. The maximum amount of fines under the GDPR is €20 million or in the case of an undertaking 4 per cent of the total worldwide annual turnover of the preceding financial year, whichever is higher. In the other EU countries as well, the data protection authorities are starting to impose sanctions under the GDPR. The most common identified transgressions are the lack of transparency and information on processing and invalid consent (the Google case) or inefficient data minimization and insufficient data security (other cases). With the adoption of the new Act on Personal Data Processing and the expiration of one year from the GDPR coming into effect, a change in the approach of the Czech Office for Personal Data Protection, which has not yet imposed any significant sanctions under the GDPR, can be expected.

In his opinion on case C 284/16: Slovak Republic v. Achmea BV, Advocate General Melchior Wathelet concluded on the compliance of intra-EU BITs with EU law: “Articles 18 TFEU, 267 TFEU and 344 TFEU must be interpreted as not precluding the application of an investor/State dispute settlement mechanism established by means of a bilateral investment agreement concluded before the accession of one of the Contracting States to the European Union and providing that an investor from one Contracting State may, in the case of a dispute relating to investments in the other Contracting State, bring proceedings against the latter State before an arbitral tribunal.” Please see the link. 30/07/2018 Road tax refund successfully accomplished
PETERKA & PARTNERS represented the Czech subsidiary of the European leader in the commercial vehicle leasing industry. The case concerned the purchase of several trucks which were not delivered to our client. The legal part of the services consisted of deregistering our client as the owner of the non-delivered trucks from the Czech Register of Vehicles, which was successfully accomplished. After the deregistration, we applied at the relevant Tax Authority for the road tax refund paid for the vehicles in the 2015–2017 period. The road tax of several tens of thousands of EUR was credited to the client´s account, which is unique under Czech tax law. This success story demonstrates the benefits achieved by the effective collaboration between our lawyers and tax advisors.

27/07/2018 VAT exemption application (cost sharing)
PETERKA & PARTNERS represented an international humanitarian organization, operating in 70 countries, on VAT aspects of a shared services centre. The tax advisory consisted in the application of VAT exemption on cost sharing, which is unique as very little relevant EUCJ case law exists and the exemption was in practice impossible. PETERKA & PARTNERS represented the client with an analysis of the breaking EUCJ case law which is binding in the Czech Republic, preparation of appropriate requests and negotiations within the Coordination Committee, i.e., the regular meetings between the Chamber of Tax Advisors and the General Financial Directorate which is a superior body to the Czech tax authorities. We obtained a positive and clear opinion beneficial for the client in terms of claiming input VAT deduction.

PETERKA & PARTNERS advised one of the world’s leading milk processors in relation to proposed changes to their manufacturing and distribution structures in the CEE region. The firm prepared a summary of the legal and tax implications of a major manufacturing and distribution restructuralization in the Czech Republic, Slovakia, Poland, Hungary and Romania. Advice from both the legal and tax perspectives helped the client to obtain a sufficient grounding for coming to a decision and for quantification of the related risks and potential savings.

The Czech Ministry of Industry and Commerce has begun to collect information from photovoltaic plants in the Czech Republic. 22/02/2018 DG Comp fines shipping and auto parts cartels
The European Commission has handed four car parts and car shipping cartels a total of €564 million in fines, after reaching settlements with all the companies accused of participating in the cartels. Among them, NYK, K Line, WWL EUKOR and CSAV were fined €346 million for participating in a roll-on roll-off vehicle shipping cartel. The EC also handed down €76 million in fines to Bosch and NGK for their roles in a spark plug cartel, and fined Bosch and Continental a total of €75 million for participating in hydraulic and electronic braking system cartels.

22/12/2017 MLI: how and when will double tax treaties be modified?
An article by Rostislav Frelich, Tax Advisor and Member of the PETERKA & PARTNERS Tax Desk will be published in the TerraLex Connections January/February 2018 General Topic Edition. In the article Mr. Frelich describes how and when double tax treaties will be modified by the Multilateral Instrument (MLI) which was signed by 70 jurisdictions. Over 1,100 bilateral tax treaties worldwide will be modified in a synchronized and efficient manner without standard negotiations and long-term approval procedures. This makes the MLI a unique and unprecedented measure. In many countries no consolidated version of modified treaties will be available. In this context, prior to applying double tax treaties, taxpayers should pay special attention to this newly-introduced OECD measure in order to determine whether, and how, a particular tax treaty has been amended by the MLI.

22/12/2017 Will Class Actions be introduced in the Czech Republic?
Class actions, as of yet not included in the procedural system, may well be introduced in the Czech Republic to enable claimants’ groups the use of collective proceedings in order to assert their claims efficiently against a respondent. In September 2017, the Minister of Justice presented a proposal to introduce class actions into Czech law. For details regarding the proposal, see the attached article.

20/12/2017 Article by Jiří Černý on introducing efficient processes to prevent and resolve disputes
An article by Jiří Černý, Partner and Leader of the Litigation and Insolvency practice has been published in the “Czech Exporter” monthly supplement to the newspaper Hospodářské noviny. In the article Mr. Černý describes certain legal risks connected with entering foreign markets. In this context, it is necessary to introduce efficient internal processes in order to prevent disputes with foreign entities, and to resolve the disputes which have arisen. Mr. Černý provides several examples to explain that it is important to be already aware at the moment when a contractual relationship is created that disputes may arise later, and to adopt efficient measures to ensure a strong position in potential litigation or arbitration. 08/12/2017 ECJ Coty ruling: Suppliers of luxury goods may prohibit authorized distributors
In the ECJ´s ruling of 6 December 2017, the Court has ruled that selective distribution systems that aim to preserve the luxury image of products do not violate European competition law by restricting third-party online platform sales, and confirmed that platform bans are not hardcore restrictions of competition. The Court ruled that online platform bans can be appropriate in the context of a selective distribution system provided such bans do not go beyond what is necessary to preserve the luxury image of products. In contrast, the ECJ also reiterated that an absolute online sales ban imposed on retailers is not legal unless objectively justified. The Coty judgment ends a period of uncertainty over the legality of online platform bans under EU law, which has been the subject of contrasting interpretations by the national competition authorities and courts, and undoubtedly provides more clarity to luxury brand owners on the legality of their distribution practices.

23/11/2017 Commission fines five car-safety equipment suppliers in cartel settlement
The European Commission has fined Tokai Rika, Takata, Autoliv, Toyoda Gosei and Marutaka a total of 34 million EUR for breaching EU antitrust rules. The companies took part in one or more of four cartels for the supply of car seatbelts, airbags and steering wheels to Japanese car manufacturers in the EEA.
All five suppliers acknowledged their involvement in the cartels and agreed to settle the case. Takata was not fined for three of the cartels, and Tokai Rika for one of the cartels, as they both revealed the existence of the cartels to the Commission.

PETERKA & PARTNERS successfully represented one of its clients, Atlas Copco s.r.o., part of the international Atlas Copco Group, in a dispute with a former employee regarding alleged invalidity of termination of an employment relationship. The court of first as well as second instance dismissed the claim of the other party in full and awarded our client reimbursement of the court fees.

24/10/2017 VW (Audi), BMW and Daimler inspected by EU for alleged cartel
Volkswagen AG and Daimler AG were inspected by European Union antitrust investigators as the EU stepped up a probe into allegations that the German car industry colluded on technology for decades. It is not yet clear whether the European Commission will instigate formal proceedings. Both VW and Daimler have claimed for leniency, and BMW is not particularly pleased about this development. The three carmakers worked together on a wide range of technology including discussing the size of AdBlue (a liquid that helps neutralize pollutants in diesel exhaust) tanks.

The obligations of country-by-country reporting will be implemented in Czech law. It will be mandatory for multinational groups of entities whose aggregate consolidated income amounts to at least EUR 750 million. The first reporting periods are periods beginning on or after 1 January 2016.

The PETERKA & PARTNERS Czech office successfully represented Skanska Reality, a member of the international corporate group Skanska, which mainly focuses on residential development, in several administrative procedures initiated by the Czech Environmental Inspectorate, and in court proceedings initiated by the Hezké Jižní Město Civil Association in connection with adherence to the Act on Nature and Landscape Protection during the construction of the Milíčovský háj residential project, located close to the Milíčovský les a rybníky Natural Monument. The last phase of this residential project (approximately USD 120 million) passed its final inspection in 2016, and all 750 residential units were sold to final customers. Luděk Trykar and Ondřej Dušek from the Prague office of PETERKA & PARTNERS provided legal advice on this transaction.

20/07/2017 The status of the implementation of the damages directive in the CEE countries
In the past years, the EU competition law enforcement has been subject to major reforms in order to increase the deterrent effect of EU competition rules. These reforms reinforced the participation of private actors in the enforcement of EU competition law, by way of strengthening private enforcement and introducing leniency programmes on the national level. The Court of Justice of the European Union has established that any citizen or business has a right to full compensation for the harm caused to them by an infringement of the EU competition rules. The right to compensation is an EU right, but its exercise is governed by national rules. These often make it costly and difficult to bring antitrust damages actions. That is why in 2013 the European Commission proposed a Directive 2014/104/EU on Antitrust Damages Actions to remove the main obstacles to effective compensation, and to guarantee minimum protection for citizens and businesses, everywhere in the EU. Member States needed to implement it in their legal systems by 27 December 2016. To date, most of the CEE countries, including the Czech Republic, Hungary, Poland, Romania and Slovakia have successfully implemented the Directive. PETERKA & PARTNERS actively monitors these developments in the CEE region and welcomes the opportunity to advise clients and bring competition claims before the national courts.
